The Opportunity

Working with the Company Secretary, the Assistant Company Secretary will provide comprehensive legal and administrative support and guidance to the Board of Directors and the broader organisation. This role ensures that the company’s decisions and instructions are properly carried out and communicated, and that the company complies with all relevant statutory and regulatory requirements, as well as act as a support function for all governance related matters within the company.

What you’ll be doing day-to-day

  1. Board Support and Governance:
    1. Represent the Company Secretary at board and committee meetings where necessary and keep records of all relevant resolutions.
    2. Provide comprehensive legal and administrative support and guidance.
    3. Facilitate the development and preparation of board and committee papers to enhance the quality and effectiveness of board information.
    4. Advise the board and its committees on governance matters.
    5. Monitor that board and committee policy and procedures are followed.
    6. Coordinate the timely completion and dispatch of board and committee papers.
  2. Communication and Documentation:
    1. Ensure that the board’s decisions and instructions are properly carried out and communicated.
    2. Ensure records of members’ and directors’ meetings are kept in compliance with the Act and the company’s constitution.
    3. Handle communication with shareholders when required.
  3. Administrative Duties:
    1. Working with the Executive Assistant, assist with the management of board processes.
    2. Ensure that necessary registers are maintained.
    3. Verify that reports are prepared in accordance with board and shareholder expectations.
  4. Advisory and Compliance:
    1. Develop, communicate, and implement compliance policies, processes, and procedures.
    2. Advise the board and broader organisation on good practice in corporate governance.
    3. Safeguard the integrity of the organization by promoting the compliance framework.
    4. Provide counselling on standards of ethical and corporate behaviour to the board.
    5. Assist with facilitating regular board performance reviews.
    6. Be involved in matters relating to risk management, corporate responsibility, governance.

What you’ll bring to this role

  • Bachelor's degree in law, finance or commerce is required.
  • The incumbent should ideally be a member of the Governance Institute of Australia or other associated professional certification.
  • Extensive knowledge of corporate governance and compliance requirements.
  • Strong organizational, communication, and interpersonal skills.
  • Ability to work independently and manage multiple tasks effectively.
  • High level of knowledge of corporate governance requirements, protocols and processes.
